Welcome to Numo Partners, a restaurant order management platform ("App") provided by Numo Eats ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the App, which enables South African restaurant partners to receive and manage customer food orders. By registering or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility and Account

You must be 18+ and authorized to represent the restaurant. You agree to provide accurate information during registration (restaurant name, email, phone, product details, operating details). You are responsible for maintaining account security and access code confidentiality; we are not liable for unauthorized access. We may suspend/terminate accounts for violations or fraudulent activity.

2. Restaurant Partner Obligations

Order Acceptance and Fulfillment:

  • You may accept or decline customer orders based on kitchen capacity, ingredient availability, and other operational factors
  • Accepted orders must be prepared within the estimated preparation time (default 25 minutes or as specified)
  • You must update order status promptly (confirmed → preparing → ready)
  • Declining orders requires selection of a valid reason (out of ingredients, kitchen busy, staff shortage, etc.)
  • Post-acceptance cancellations must include a reason and may trigger reduced payout

Menu Accuracy:

  • You are responsible for maintaining accurate menu information (item names, descriptions, prices, availability)
  • Dietary information and allergen warnings must be accurate and up-to-date
  • Menu prices must be current and honored for accepted orders
  • Out-of-stock items must be marked unavailable promptly

Quality and Safety:

  • All food must meet South African health and safety standards
  • You maintain all necessary licenses, permits, and insurance
  • Food preparation must follow hygiene regulations
  • You are solely responsible for food quality, allergens, and safety

Communication:

  • Respond to order inquiries and issues promptly
  • Maintain professional communication with drivers and Support staff
  • Provide accurate preparation time estimates

3. Payments, Commissions, and Refunds

Commission Structure:

  • Platform commission: 15% of order subtotal (configurable by agreement)
  • Payment processing fee: Part of Platform commission (via Paystack)
  • Commissions are deducted from gross order value before payout
  • Detailed earnings breakdown available in App dashboard

Payment Processing:

  • Customer payments processed via Paystack payment gateway
  • You authorize charges for accepted orders
  • Earnings calculated from order subtotal (excludes delivery fees)
  • Payouts processed according to settlement schedule

Refunds and Cancellations:

  • Declined orders: No commission charged
  • Pre-acceptance cancellations by customer: No impact on restaurant
  • Post-acceptance cancellations by restaurant: Full refund to customer's wallet, commission may apply
  • Post-acceptance cancellations by customer: Refund policy applies, restaurant may retain partial payment if food prepared
  • Refunds processed automatically to customer wallet within 5-7 business days

Taxes:

  • You are responsible for all applicable VAT and tax reporting
  • Earnings reports available for tax compliance

4. Promotions and Marketing

  • You may create promotional campaigns (discounts, BOGO (Once available), free delivery(Once available))
  • Promotions must have clear terms (validity period, maximum uses)
  • You honor all active promotions for customer orders
  • We may feature your restaurant in platform marketing with your consent

5. Intellectual Property

The App and content (e.g., logos, platform design) are our property or licensed. Restaurant menus, images, and branding remain your property but you grant us a license to display them on the platform for order facilitation.

6. Disclaimers and Liability

The App is provided "as is." We disclaim warranties for platform availability, order volume, or earnings. We are not a party to the transaction between you and the customer; we provide a technology platform only. Liability is limited to direct damages up to monthly commission paid. No consequential damages (lost profits, lost revenue, etc.). You indemnify us against claims arising from your food, service, or violations of law.

7. Termination

We may terminate access for violations, fraudulent activity, poor ratings, or business reasons with 30 days' notice (immediate for serious violations). You may terminate by providing 30 days' notice. Upon termination, outstanding payments are settled, and access code is deactivated.

8. Governing Law

These Terms are governed by South African law. Disputes resolved in South African courts or via arbitration under AFSA rules.

9. Changes

We may update Terms; continued use is acceptance. Notice via App and email.
